These Terms and Conditions of Use (the “Terms“) govern your access to and use of the website located at [www.pem.sa] and any associated pages, subdomains, and applications made available by PEM Strategy (the “Site“). PEM Strategy is a professional services firm organised under the laws of the Kingdom of Saudi Arabia, with its registered office at Office A12, 1st Floor, 3754, Al Thoumamah Rd, Al Sahafa District, Riyadh 13315 – 7488, Kingdom of Saudi Arabia (“PEM Strategy“, “we“, “us“, or “our“).
By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue all use of the Site immediately. We may amend these Terms from time to time without prior notice; the version in force is the version published on the Site at the time of your access. Your continued use of the Site following any amendment constitutes acceptance of the amended Terms.
For information regarding the collection, use, and storage of personal data, please refer to our Privacy Policy, which is incorporated into these Terms by reference.
1. Definitions
In these Terms:

“Site Content” means all content and functionality available on or through the Site, including text, graphics, logos, icons, images, videos, designs, interfaces, code, data compilations, frameworks, methodologies, tools, case descriptions, and the selection and arrangement thereof, together with any concepts, know-how, models, processes, algorithms, and industry perspectives underlying or embedded in the foregoing, and any enhancements or derivative works thereof.

“Marks” means the trademarks, service marks, trade names, designs, and logos displayed on the Site, whether registered or unregistered, including the name “PEM Strategy” and associated brand identifiers.

“Services” means the strategy, transformation, digitalisation, organisational optimisation, execution, mergers and acquisitions, executive search, and related professional services described on the Site, as such descriptions may be updated from time to time.

“Engagement Agreement” means a written agreement for the provision of Services, executed by duly authorised representatives of PEM Strategy and a client, which may take the form of an engagement letter, proposal acceptance, or master services agreement.

“Indemnified Parties” means PEM Strategy, its predecessors, successors, subsidiaries, affiliates, partners, officers, directors, employees, contractors, seconded and interim personnel, agents, representatives, and professional advisers, and each of their respective heirs, successors, and assigns.
2. Intellectual Property Rights
2.1 Ownership
All Site Content is the exclusive property of PEM Strategy or its licensors and is protected by the copyright, trademark, database, and other intellectual property laws of the Kingdom of Saudi Arabia and applicable international conventions. All rights not expressly granted under these Terms are reserved.
2.2 Restrictions
Except as expressly permitted under Section 3, you shall not, and shall not permit any third party to, copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, alter (including the removal or disabling of any security features, disclaimers, or proprietary legends), upload, publish, post, transmit, distribute, sell, license, or otherwise exploit any Site Content in any form or by any means, whether electronic, mechanical, or otherwise, without our prior written consent.
2.3 Automated Access and AI Training
You shall not access, search, collect, mine, scrape, or extract data or content from the Site by any automated or manual means, including through the use of crawlers, spiders, bots, or scraping tools, without our express written permission. You shall not use the Site or any Site Content to develop, train, fine-tune, ground, or otherwise operate any software program, model, algorithm, or artificial intelligence or machine learning system, including through retrieval-augmented generation or comparable techniques. You shall not mirror any portion of the Site without our prior written consent.
2.4 Trademarks
The Marks are the property of PEM Strategy or its licensors. You shall not use or reproduce the Marks in any manner likely to cause confusion, take unfair advantage of, or cause detriment to PEM Strategy, or that could imply any endorsement by, affiliation with, or sponsorship by PEM Strategy. You shall not refer to or attribute any information to PEM Strategy in any public medium — including press releases, websites, and social media — for advertising, promotional, or marketing purposes without our prior written consent.
3. Permitted Use
We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access the Site and to view, download, and print a single copy of Site Content solely for your personal, internal, and non-commercial purposes, provided that you do not modify the Site Content, retain all copyright and proprietary notices, and comply fully with these Terms. This licence terminates automatically and immediately upon any breach by you of these Terms.
No provision of these Terms shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any intellectual property of PEM Strategy other than as expressly set forth herein.
4. No Professional Advice; No Engagement
4.1 Nature of the Site
The Site is provided for general informational purposes only. Nothing on the Site constitutes professional, commercial, legal, tax, accounting, financial, investment, regulatory, or other advice, nor does it constitute an offer, solicitation, invitation, or commitment by PEM Strategy to provide any Services or to enter into any engagement.
4.2 No Consultant–Client Relationship
Your use of the Site, submission of an enquiry through any contact form, exchange of communications with PEM Strategy personnel, or receipt of any proposal does not create a consultant–client, advisory, fiduciary, or other professional relationship between you and PEM Strategy. Any such relationship arises solely upon execution of an Engagement Agreement and is governed exclusively by the terms of that agreement.
4.3 Engagement Terms Prevail
Where the Services are engaged pursuant to an Engagement Agreement, the rights and obligations of the parties in respect of those Services — including scope of work, deliverables, timelines, fees, pricing models, liability, confidentiality, and intellectual property — are governed exclusively by that Engagement Agreement. In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement prevails with respect to its subject matter.
4.4 No Guarantee of Outcomes
References on the Site to results, milestones, metrics, growth, transformation outcomes, timelines, or the “PEM Advantage” are illustrative of PEM Strategy’s general approach and experience and do not constitute, and shall not be relied upon as, a promise, commitment, guarantee, or representation as to the outcome of any engagement. Actual results depend on facts and circumstances specific to each client engagement, many of which are outside PEM Strategy’s control.
5. Communications and Submissions
5.1 Voluntary Submission
Where you submit information through the Site — including via the contact form, email, or any enquiry or application mechanism — you represent that the information submitted is accurate, lawfully yours to submit, and does not infringe, misappropriate, or violate the rights of any third party or any applicable law, including anti-bribery, anti-corruption, sanctions, and data protection laws.
5.2 No Confidentiality
The Site is not a secure or confidential channel. Any information you transmit to us through the Site is submitted on a non-confidential basis, and you should not submit confidential, proprietary, or commercially sensitive information through the Site. Confidential information exchanged in connection with an engagement shall be protected solely pursuant to the confidentiality provisions of the applicable Engagement Agreement or a separate non-disclosure agreement executed by the parties.
5.3 Licence to Use Submissions
By submitting content or information through the Site, you grant PEM Strategy a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable licence to use, reproduce, store, process, analyse, publish, and otherwise deal with such content and information for the purposes of operating the Site, responding to enquiries, evaluating potential engagements, and conducting our business, in each case in accordance with our Privacy Policy and applicable law. You waive, to the fullest extent permitted by law, any claims for infringement of privacy, publicity, moral rights, or attribution in connection with our use of such submissions.
5.4 Prohibited Use
You shall not use the Site, or submit any content through it, that is unlawful, misleading, defamatory, obscene, threatening, or harassing; that infringes the intellectual property, privacy, or other rights of any third party; that contains any virus, malware, or other harmful component; or that seeks to interfere with, burden, or gain unauthorised access to the Site, its systems, or its security features. We reserve the right to restrict or terminate access to the Site and to pursue any available legal remedy in respect of any breach.
6. Personnel and Individuals
6.1 Protection of Personnel
Our partners, consultants, and personnel are central to the value we deliver. The names, images, biographical details, and other information relating to individuals displayed on the Site are provided for informational purposes only. You shall not use, reproduce, or disseminate such information for commercial, recruitment database, marketing, or other purposes without the individual’s consent and our prior written approval.
6.2 Non-Solicitation
In recognition of the substantial investment PEM Strategy makes in identifying, developing, and deploying its team, you agree that, for a period of twelve (12) months following your last use of the Site or most recent interaction with PEM Strategy, you shall not directly or indirectly solicit for employment or engagement any PEM Strategy partner, consultant, or other personnel with whom you were introduced or made contact in connection with the Site or any proposed engagement, other than in response to a general public advertisement or posting not specifically targeted at such individual. This provision does not apply to candidates who respond independently to publicly advertised roles published by PEM Strategy.
6.3 No Affiliation with Third-Party Organisations
References on the Site to third-party companies, investors, consulting firms, educational institutions, professional bodies, or clients — including past employers of our personnel — are provided solely as biographical or contextual information. Such references do not imply any endorsement of, by, or affiliation with PEM Strategy, nor any sponsorship, partnership, or approval by such organisations, and no such relationship should be inferred. The views expressed on the Site are those of PEM Strategy alone.
7. Third-Party Content and Links
The Site may contain links to third-party websites and platforms, including professional networking sites and mapping services, and may display content supplied by third parties. Such links and content are provided for convenience only. PEM Strategy does not control, review, endorse, or accept any responsibility for third-party websites or content, which are governed by the terms of use and privacy policies of the applicable third-party providers. Your dealings with any third party accessed through the Site are solely between you and that third party.
8. Disclaimers and Limitation of Liability
8.1 No Warranties
The Site and all Site Content are provided on an “as is” and “as available” basis, without warranty of any kind, whether express, implied, or statutory, including any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, accuracy, non-infringement, compatibility, or availability. PEM Strategy does not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that Site Content is complete, current, or accurate.
8.2 No Reliance
All Site Content is general in nature and is not tailored to your circumstances. To the fullest extent permitted by applicable law, you acknowledge that you remain solely responsible for your use of the Site and any reliance on Site Content, and that such reliance is entirely at your own option and risk.
8.3 Limitation of Liability
To the fullest extent permitted by applicable law, PEM Strategy and the Indemnified Parties shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities, whether in contract, tort (including negligence), statute, or otherwise, arising out of or in connection with your access to, use of, or inability to use the Site or any Site Content, even if advised of the possibility of such damages. To the extent any liability cannot be excluded under applicable law, PEM Strategy’s aggregate liability arising out of or in connection with the Site shall not exceed five hundred Saudi Riyals (SAR 500).
9. Indemnification
You agree to indemnify, defend, and hold harmless PEM Strategy and the Indemnified Parties from and against any and all claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with (a) your access to or use of the Site; (b) any content or information you submit to or through the Site; (c) your breach of these Terms or any applicable law; or (d) your violation of any third-party right. PEM Strategy reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you shall not settle any such matter without our prior written consent.
10. Suspension and Termination of Access
We reserve the right, in our sole discretion and without notice or liability, to suspend, restrict, or terminate your access to the Site, in whole or in part, for any reason, including where we reasonably believe you have breached these Terms or any applicable law, or where such action is necessary to protect PEM Strategy, its personnel, its clients, or the integrity of the Site. Sections 2, 4 through 9, and 11 through 13 shall survive any termination of your access or of these Terms.
11. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-laws principles. The parties shall first seek to resolve any dispute amicably through good-faith negotiations between senior representatives. Any dispute not so resolved within thirty (30) days of written notice shall be referred to the exclusive jurisdiction of the competent courts of Riyadh, Kingdom of Saudi Arabia, unless the parties agree in writing to resolve the dispute by arbitration administered in accordance with the Saudi Centre for Commercial Arbitration Rules, seated in Riyadh, in the English language, by a sole arbitrator, and in a manner consistent with the principles of Shariah.
12. General Provisions

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to render it valid and enforceable.

No Waiver. Our failure or delay in enforcing any right or provision of these Terms shall not be deemed a waiver of that or any other right or provision.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms freely in connection with a corporate reorganisation, merger, acquisition, or sale of assets. These Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Entire Agreement. These Terms, together with our Privacy Policy and any documents expressly referenced herein, constitute the entire agreement between you and PEM Strategy in relation to the use of the Site and supersede all prior understandings and communications, whether oral or written. They do not supersede or modify any Engagement Agreement.

Language. These Terms have been drafted in the English language. If translated, the English version shall prevail in the event of any inconsistency.

Electronic Communications. You consent to receive communications from PEM Strategy by email or through the Site, and you agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that they be in writing.
